1These terms
These terms are an agreement between you and Provenda for using the Provenda website and service. By creating an account, you accept them on behalf of yourself and the company you register.
Provenda is for businesses. You confirm you are authorised to act for the company you register.
2Your account
- Give accurate information, and keep it up to date.
- Keep your sign-in details to yourself. You are responsible for what happens in your account, including by the team members you invite.
- Tell us at once if you think someone else has used your account.
3What Provenda does, and doesn't
Provenda reads food and drink products against the UK market, its rules and a buyer’s brief, and shows what it found with its sources. What it can’t find, it shows as unknown.
Its findings are indicative research. They are not legal, regulatory or compliance advice, and Provenda never certifies a product as compliant, cleared or safe. Suppliers remain responsible for their products and labels. Buyers remain responsible for their buying decisions.
4Your content
You keep ownership of everything you put into Provenda: products, documents, briefs, messages and files. You give us permission to store, process and display it to run the service, including running the research agents on it and showing it to the people your actions share it with.
You confirm you have the right to upload it, and that what you state about products, prices and certificates is accurate to the best of your knowledge. Don’t upload anything unlawful or anything that infringes someone else’s rights.
5Between buyers and suppliers
Provenda helps buyers and suppliers meet, compare and talk. It is not a party to any deal between them. Prices, orders, NDAs, samples, delivery and payment for goods are agreed directly between the buyer and the supplier.
6Confidentiality
- A deal room's messages and files are private to the two companies in it.
- On a tender, neither side is named to the other until both agree to an introduction.
- Keep confidential what another company shares with you through Provenda, and use it only to consider or carry out business with them.
- We treat your non-public information as confidential, and use it as our privacy policy describes.
7Fees
Checking products is free for manufacturers. Paid services, such as the company check by Provenda, show their price before you pay. Payments are taken by our payment provider, Stripe.
8Fair use
Don’t:
- try to reach data that isn't yours, or get round access controls;
- scrape, copy or resell Provenda's content or results in bulk;
- give false information about a company, a product or a certificate;
- interfere with the service or other people's use of it.
9Availability and changes
We work to keep Provenda running and accurate, but can’t promise it will always be available or error-free. We may change or improve features. If we change these terms in a way that matters, we’ll tell you before the change takes effect.
10Liability
Nothing in these terms limits liability that the law does not allow to be limited, such as for death or personal injury caused by negligence, or for fraud.
Otherwise, we are not liable for indirect or consequential loss, or for loss of profit, business or opportunity, and our total liability to you in any twelve months is limited to what you paid us in that period.
11Ending your use
You can stop using Provenda and delete your account at any time from your settings. We may suspend or close an account that breaks these terms, and will tell you why unless the law prevents it.
12Governing law
These terms are governed by the law of England and Wales, and its courts have jurisdiction.
